Luau terms of service.

These Terms of Service (these "Terms") are a legal agreement between you and Luau Digital, Ltd. ("Luau," "we," "us," or "our") covering your use of the Luau iOS app, the Luau website at luau.co, and any related services (together, the "Service").
By creating an account, RSVPing to a Luau event, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Eligibility
You must be at least 13 years old to use Luau. If you are between 13 and 18, you may use Luau only with the involvement of a parent or guardian.
You must be at least 18 years old (or have parental consent) to receive SMS messages from Luau. SMS is U.S. only.
You must have the legal capacity to enter into these Terms. By using Luau, you represent that you do.
2. Your account
When you create a Luau account, you agree to:
- Provide accurate information.
- Keep your account credentials and phone number secure.
- Notify us immediately at security@luau.co if you suspect unauthorized access.
- Take responsibility for all activity under your account.
You may not create an account using someone else's identity, impersonate another person, or use Luau on behalf of someone else without their permission.
3. The Service
Luau helps you plan, host, and attend events. You can create events, invite guests, RSVP, manage RSVPs, sync events to Google Calendar (optional), tap PartyPass NFC chips to verify access, and use Kai (our AI assistant) to draft event details and generate event cover images.
We may add, change, or remove features at any time. We may also suspend or discontinue the Service in whole or in part. We'll do our best to give notice before significant changes.
4. Acceptable use — what you may not do
Luau is a place for genuine social connection. The following are strictly prohibited on the Service. We have zero tolerance for objectionable content, harassment, or abuse.
You agree not to:
- Post, upload, or transmit content that is unlawful, threatening, abusive, harassing, defamatory, libelous, obscene, pornographic, sexually explicit, hateful, racially or ethnically offensive, or that promotes violence, self-harm, or terrorism.
- Post content that exploits, sexualizes, or endangers minors in any way.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use Luau to stalk, harass, intimidate, or invade the privacy of any person.
- Post content that infringes any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property right of any person.
- Solicit personal or financial information from minors, or from any user without their consent.
- Use Luau to send spam, chain letters, pyramid schemes, or unsolicited commercial communications.
- Use any automated means (bots, scrapers, crawlers) to access the Service or extract data, except as expressly permitted by us.
- Reverse engineer, decompile, or attempt to extract the source code of the Luau app.
- Interfere with the Service's normal operation, attempt to gain unauthorized access, probe for vulnerabilities, or evade rate limits.
- Use Luau in violation of any applicable law or regulation.
- Use Kai (our AI assistant) to generate content that violates this section, including but not limited to sexual content, content depicting real people without consent, or content that could be used to deceive (e.g., deepfakes).
We may remove content that violates these Terms and suspend or terminate accounts at our discretion.
5. User-generated content
You retain ownership of content you create on Luau (event descriptions, cover images, profile photos, RSVPs, Kai conversations — together, "User Content").
By posting User Content, you grant Luau a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (e.g., resize images), display, and distribute that User Content solely to operate, maintain, and improve the Service and to share it with the people you choose to share it with (your guests, hosts, and connections).
You represent and warrant that you own or have the necessary rights to all User Content you post, and that posting it does not violate any third party's rights or any law.
We do not claim ownership of your User Content. You can delete your User Content at any time; deletion follows the retention rules in our Privacy Policy.
6. Reporting and content moderation
We take reports seriously and act on them within 24 hours.
You can report objectionable content or abusive behavior:
- Inside the app — tap the Report button on any event, profile, or AI-generated image.
- By email — abuse@luau.co.
When you report content, we'll review it and may remove it, warn the user, suspend the account, or escalate to law enforcement, depending on the severity. We'll do our best to acknowledge reports within 24 hours.
You can also block another user inside the app: Profile → Block. Blocked users cannot invite you to events, see your profile, or appear in your mutuals.
We use automated tools (image moderation via AWS Rekognition; text moderation via the OpenAI Moderation API) to flag content that may violate these Terms. Automated flags result in human review, not automatic removal.
7. Account suspension and termination
We may suspend or terminate your account if:
- You violate these Terms or our Privacy Policy.
- You engage in conduct we believe is harmful to other users or to Luau.
- We're required to do so by law.
- You don't use Luau for an extended period.
If your account is terminated, the license you granted us in §5 survives only to the extent needed to operate the Service for other users (e.g., events you created remain visible to invitees).
You can delete your account at any time inside the app: Profile → Settings → Delete Account, or by emailing privacy@luau.co. Account deletion is described in detail in our Privacy Policy §9. Briefly: we anonymize your profile immediately, retain a hashed phone number for 90 days so you can restore the account if you change your mind, and permanently purge after that.
8. SMS terms
Luau sends event-related SMS messages — confirmations, guest updates, reminders.
- How to opt in: confirming an RSVP for a Luau event constitutes consent to receive related SMS.
- Frequency: up to 10 messages per event.
- Cost: standard message and data rates may apply.
- Opt out: text STOP to any Luau SMS.
- Help: text HELP or email support@luau.co.
- Eligibility: U.S. mobile numbers only. You must be 18 or older (or have parental consent).
- Carriers: messages are delivered via AWS End User Messaging. Supported carriers include AT&T, Verizon, T-Mobile, and others. Carriers are not liable for delayed or undelivered messages.
We don't share your phone number or SMS opt-in status for marketing purposes.
9. Kai — AI-assisted features
Kai is our AI assistant for drafting event details and generating event cover images. Kai uses third-party AI from OpenAI to power its responses.
When you use Kai:
- Your messages and image-generation prompts are sent to OpenAI.
- OpenAI's API terms prohibit OpenAI from using Luau-submitted data to train its models.
- AI-generated content may be inaccurate, biased, or inappropriate. You are responsible for the content you publish from Kai's output, including verifying accuracy, ensuring you have the right to publish it, and confirming it complies with these Terms.
- Generated images are labeled as AI-generated in the app.
- You can opt out of Kai entirely in Profile → Settings → AI Assistant. Kai stops working when opted out, but your account remains active.
You may not use Kai to generate content that violates §4 (Acceptable use). We use the OpenAI Moderation API and AWS Rekognition to screen for violations.
10. PartyPass
PartyPass is an optional feature that uses NFC chips to verify access to specific events. Your iPhone reads the chip and we verify a cryptographic message authentication code (CMAC) on our servers. Tapping a PartyPass for someone else's event with their permission is fine; tapping a chip you don't have permission to use, or attempting to clone or spoof a chip, is a violation of these Terms.
11. Third-party services and links
Luau integrates with optional third-party services (Google Calendar, Apple Calendar, etc.) and may link to third-party content. We are not responsible for the availability, accuracy, content, or practices of those third parties. Your use of those services is subject to their terms and privacy policies.
12. Intellectual property
The Service — including the Luau app, the Luau brand, the Luau logo, the Kai assistant, the website, and all content we provide (other than User Content) — is owned by Luau Digital, Ltd. or our licensors and is protected by U.S. and international intellectual property laws.
You may use the Service only as permitted by these Terms. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Service except as the law expressly allows.
DMCA / copyright complaints
If you believe content on the Service infringes your copyright, send a written notice to our designated agent that includes:
- A physical or electronic signature.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material to be removed and information sufficient for us to locate it (e.g., the event ID or profile URL).
- Your contact information.
- A statement that you have a good-faith belief that use of the material is not authorized.
- A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

We may terminate accounts of repeat infringers.
13. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free of viruses or harmful components. We do not warrant that AI-generated content will be accurate, useful, or appropriate.
14. Limitation of liability
To the fullest extent permitted by law, Luau Digital, Ltd. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Service.
Our total liability to you for all claims arising from or relating to the Service will not exceed (a) the amount you paid Luau in the 12 months before the claim or (b) US$100, whichever is greater.
Some jurisdictions don't allow limitations on implied warranties or certain damages, so some of these limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold Luau Digital, Ltd. and its officers, directors, employees, and agents harmless from any claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms.
- Your violation of any third party's rights, including intellectual property or privacy rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The federal and state courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts.
If you live in the European Economic Area, United Kingdom, or Switzerland, nothing in this section limits any mandatory consumer-protection rights you have under your local law.
17. Apple-specific terms
If you downloaded Luau from the Apple App Store, the following also applies:
- These Terms are between you and Luau, not Apple. Apple is not responsible for the Service or its content.
- Apple has no obligation to provide maintenance or support for the Service.
- In the event of failure to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation.
- Apple is not responsible for any product liability claims, third-party intellectual property claims, or your compliance with consumer protection or data protection laws relating to the Service.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by SMS, email, or in-app message, and update the "Last updated" date at the top. Continued use after a change means you accept the updated Terms.
19. Miscellaneous
- These Terms (together with our Privacy Policy) are the entire agreement between you and Luau about the Service.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms; we may assign them to a successor or affiliate.
